Standard Sales Terms & Conditions

These terms and conditions apply to all quotations, sales and supplies of goods and services by Lanter Technologies Pty Ltd (Lanter) unless otherwise agreed in writing.

1. Payment and Pricing

    • Prices are in Australian dollars and, unless stated otherwise, are exclusive of GST and delivery or other applicable charges.
    • The customer must pay any applicable delivery charges in addition to the price of the goods, unless otherwise agreed in writing.
    • Any services supplied by Lanter will be provided in accordance with the customer’s instructions, scope or requirements as communicated to Lanter.
    • Any variation to the customer’s instructions, scope or requirements may result in additional charges at Lanter’s applicable rates.
    • Services will be charged at Lanter’s applicable hourly rates and billed in minimum increments of 30 minutes.
    • Payment is due within 14 days from the invoice date unless otherwise agreed in writing. Lanter may suspend further supply while any amount remains overdue.
    • A merchant fee of 1.75% may be applied to payments made by credit card. Any such fee will be disclosed before payment is processed.

2. Title, Risk and Delivery

      • Title to goods does not pass to the customer until Lanter has received payment in full for those goods and any other amounts then owing by the customer. Until title passes, the customer must keep the goods identifiable and in good condition.
      • Risk in the goods passes to the customer on delivery, collection or handover to the customer’s carrier, whichever occurs first.
      • The customer must inspect goods on delivery and notify Lanter promptly of any shortage, damage or defect. Returned goods will not be accepted without prior approval, except where required by law.
      • If Lanter intends to rely on retention of title as a security interest, it may register that interest on the Personal Property Securities Register in accordance with applicable law.

3. General

        • To the maximum extent permitted by law, Lanter’s liability for any claim relating to goods or services is limited, at its option, to repair, replacement, re-supply or refund. Nothing in these terms excludes or limits any rights or remedies that cannot be excluded under the Australian Consumer Law.
        • Lanter is not liable for any delay or failure to perform its obligations to the extent caused by events beyond its reasonable control, including acts of God, natural disasters, fire, flood, pandemic, war, labour disputes, transport delays, supply shortages, government action or utility outages. If such an event continues for an unreasonable period, either party may cancel any affected order without further liability, other than for amounts already due.
        • These terms are governed by the laws of New South Wales, Australia, and the parties submit to the non-exclusive jurisdiction of the courts of New South Wales.
